Geographic Coverage:
- Primary markets: United States, United Kingdom, Canada, Germany
- Remote delivery capabilities globally
- Local compliance with applicable laws
3. USER RESPONSIBILITIES
You agree to:
- Provide accurate, current, and complete information
- Maintain confidentiality of account credentials
- Use services only for lawful business purposes
- Comply with all applicable laws and regulations
- Not interfere with or disrupt our services
- Respect intellectual property rights
You will not:
- Use services for illegal or unauthorized purposes
- Transmit viruses, malware, or harmful code
- Attempt to gain unauthorized access to our systems

4. INTELLECTUAL PROPERTY

- Client retains ownership of all business data

5. CONFIDENTIALITY
Mutual Confidentiality:
- Both parties protect confidential information
- Non-disclosure obligations survive termination
- Confidential information used only for authorized purposes
- Standard exceptions for required legal disclosures
Data Security:
- Industry-standard security measures implemented
- Regular security assessments and updates
- Incident response and breach notification procedures
- Secure data deletion upon contract termination
6. PAYMENT TERMS
Payment Structure:
- Fees as specified in individual project agreements
- Payment terms typically Net 30 days
- Late payment charges may apply
- All fees exclusive of applicable taxes
Billing and Invoicing:
- Invoices sent via email in PDF format
- Payment accepted via bank transfer, check, or approved methods
- Disputes must be raised within 30 days of invoice date
- No refunds for completed work without breach of contract
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our liability limited to direct damages only
- No liability for indirect, consequential, or punitive damages
- Total liability capped at fees paid in preceding 12 months

8. INDEMNIFICATION
You agree to indemnify and hold us harmless from:

- Violations of these Terms or applicable law
- Infringement of third-party intellectual property rights
- Breach of confidentiality or security obligations
9. TERMINATION
Termination Rights:
- Either party may terminate with 30 days written notice
- Immediate termination for material breach
- Termination for insolvency or change of control
- All confidentiality obligations survive termination
Effect of Termination:
- Payment due for services performed
- Return or destruction of confidential information
- Cessation of access to proprietary tools and methods
- Survival of applicable warranty and liability limitations
10. GOVERNING LAW
Jurisdiction:
- US Clients: Delaware state law and US federal law
- UK Clients: English law and UK regulations
- Canadian Clients: Canadian federal law and applicable provincial law
- German Clients: German law and EU regulations
Dispute Resolution:
- Good faith negotiation required first
- Binding arbitration for disputes over $10,000
- Local court jurisdiction for smaller claims
- Expedited procedures for time-sensitive matters
11. FORCE MAJEURE
Neither party liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, pandemics, or technical failures.
12. SEVERABILITY
If any provision is found unenforceable, remaining provisions continue in full force and effect.
13. ENTIRE AGREEMENT
These Terms, together with any executed service agreements, constitute the entire agreement between parties.
